General Terms and Conditions

Article 1. General

  1. These Terms and Conditions govern your use of StudyLuna’s online Learning Management System (LMS) and all associated services. By accessing or using our website, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not use our services. 

Article 2. Definitions

  • “Company”, “We”, “Us”, or “Our” refers to StudyLuna, registered at Moutheuvelsweg 40, 6171VJ Stein, the Netherlands, Chamber of Commerce #94257418.
  • “Service” refers to the online LMS and all content provided by StudyLuna.
  • “User”, “You”, or “Your” refers to the individual or entity using our Service. 
  • “License” refers to the annual subscription granting access to our Service. 

Article 3. Applicability

  1. These Terms and Conditions constitutie a legally binding agreement between you and StudyLuna (the “Agreement”) 

  2. StudyLuna reserves the right to modify the quantity and content of its Service to improve quality. In such cases, the User is not entitled to a refund or discount. 

Article 4. Account Registration and License period 

  1. By registering an account and paying the required fee, you will receive a 1-year license to access all content and features of the StudyLuna LMS. 

  2. The 1-year license period begins when we grant access to your account, which may take up to 2 working days after payment is received and verified. 

  3. Access to your account will automatically terminate at the end of the 1-year period unless renewed. 

  4. Your account is automatically renewed, and an invoice will be sent immediately upon renewal. Access will only be reinstated after payment of the yearly fee is received. 

Article 5. Service Description

  1. StudyLuna offers e-learning courses designed to help students develop skills that may not be part of standard academic curricula. 

  2. Our courses are intended to create awareness and provide educational content. They are not certifications or guarantees of skill improvement.

  3. Users acknowledge that they cannot claim any rights or guarantees regarding skill improvement or specific outcomes from using our Service.

  4. The User acknowledges and accepts that the Service of StudyLuna is provided as-is. 

Article 6. Obligations of the User

  1. The User is responsible for the accuracy and completeness of the information provided to StudyLuna, the use of the Service, and maintaining the confidentiality of access credentials.

  2. The User commits to using the Service within the limits of these Terms and Conditions, and applicable laws and regulations, including the General Data Protection Regulation (GDPR). 

Article 7. Acceptable Use Policy

  1. You agree to use our Service for lawful purposes only and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Service.

  2. Prohibited activities include but are not limited to:  

    a) Copying, distributing, or sharing course content beyond personal use 
    b) Attempting to reverse engineer, decompile, or hack any part of our Service 
    c) Using our Service to transmit any malicious code or engage in any activity that disrupts our Service
    d) Creating an account on behalf of another individual or entity, unless you are legally authorized to do so
    e) Sharing your account credentials with others 

  3.  We reserve the right to terminate or suspend your account for any violation of these Terms.

  4. Users must comply with our security rules, including:
    a) Using strong passwords for their accounts
    b) Regularly updating their passwords as prompted by our system
    c) Enabling and using two-factor authentication (2FA) when available

  5. You must notify StudyLuna immediately upon becoming aware of any breach of security or unauthorized use of your account 

Article 8. Intellectual property

  1. All content provided through our Service, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and data compilations, is the property of StudyLuna or its content suppliers and is protected by international copyright laws.

  2. We have made efforts to acknowledge, inform, ask for consent and refer to the creators of original content where applicable. If you believe any content violates your intellectual property rights, please contact us at info@studyluna.com.

  3. Users may download templates and files explicitly offered for download but may not copy or misuse any other course content.

  4. Our Service may contain links to third-party websites or services that are not owned or controlled by StudyLuna. StudyLuna has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that StudyLuna shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit. The inclusion of any links does not necessarily imply a recommendation or endorse the views expressed within them. 

Article 9. License Agreement

  1. StudyLuna grants you a limited, non-exclusive, non-transferable license to access and use our Service for personal, non-commercial purposes.

  2. This license is valid for the duration of your active subscription and is subject to these Terms.

  3. You may not sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit your access to the Service. 

Article 10. Terms of Payment and Fees

  1. All fees are payable in advance and non-refundable, except as required by applicable law.

  2. Payments can be made in the user’s native currency, but exchange rates and conversion fees may apply.

  3. Invoices will be sent via email, and invoiced amounts include applicable sales taxes and VAT.

  4. StudyLuna invoices are to be paid within 30 days unless otherwise agreed upon.

  5. Unless otherwise agreed upon, promotions and discounts are one-off only. Upon renewal, each Agreement shall be legally renewed as an Agreement to which no promotions and/or discounts apply.

  6. In the event of non-payment:   

    a) StudyLuna may suspend access to the Service immediately and without prior notice. 
    b) StudyLuna may terminate the Agreement effective immediately, without prejudice to the User’s obligation to fulfill its payment obligations.

  7. StudyLuna may index fees, prices, and rates annually according to the European HICP (Harmonised Index of Consumer Prices) as published by Eurostat.

Article 11. Limitation of Liability

  1. StudyLuna provides the Service on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

  2. In no event shall StudyLuna be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your use of the Service.

  3. In the event of any valid claim related to our Service, you agree that any settlement, refund, or compensation shall not exceed the amount paid for your current License.

  4. To the extent permitted under applicable law, You agree to defend, indemnify and hold harmless StudyLuna from and against any claims, damages, obligations, losses, costs or expenses (including but not limited to attorney fees) arising from your use of the Services and/or your violation of these Terms and Conditions. 

Article 12. Confidentiality

  1. StudyLuna will treat all information it processes within the framework of the Agreement with the User confidentially.

  2. Exceptions to confidentiality are only permitted if:  

    i) The information was already generally known prior to entering into the Agreement;
    ii) Prior written permission from the relevant Party was obtained for such a specific deviation;
    iii) That information has to be disclosed as a result of a given order or court decision. 

  3. These confidentiality obligations remain effective even after the termination of the Agreement. 

Article 13. Personal Data Protection

  1. StudyLuna will process the personal data of the Users within the limits of statutory regulations and objectives, in an appropriate, careful, and safe fashion. 

  2. StudyLuna will process the personal data of Users in accordance with its privacy notice, which is available on the StudyLuna website (www.studyluna.com). 

Article 14. Changes to Terms

  1. We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting an announcement on our website. Your continued use of the Service after such modifications constitutes your acceptance of the new Terms. 

Article 15. Governing Law and Jurisdiction

  1. These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

  2. Any disputes relating to the Agreement, these Terms and Conditions, or any agreements made for the sake of executing the main Agreement will be submitted exclusively to the competent court in the district of Maastricht (NL). 

Article 16. Severability

  1. If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. 

Article 17. Precedence of Documents

  1. In the event of any contrariety between the various documents describing the agreements between the Parties, the following order of precedence shall apply:  

    i) The Order confirmation;
    ii) Data Sharing Agreement;

    iii) These Terms and Conditions;  

    iv) Any additional Terms and Conditions.
